6. Payment and Fees

Payment terms for our consulting services will be specified in individual service agreements. Unless otherwise stated:

  • Invoices are due within 30 days of issuance
  • Late payments may be subject to interest charges
  • All fees are non-refundable unless otherwise specified in writing
  • Prices are subject to change with notice

7. Confidentiality

We understand the importance of protecting confidential information. Both parties agree to:

  • Keep confidential information disclosed during our engagement private
  • Use confidential information only for the purposes of providing or receiving services
  • Take reasonable measures to protect confidential information from unauthorized disclosure

8. Warranties and Disclaimers

We strive to provide high-quality services, but:

  • WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WE DO NOT WARRANT THAT ANY RESULTS OR OUTCOMES FROM OUR SERVICES WILL MEET YOUR EXPECTATIONS

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SIMPLY AUTOMATED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR OUR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES

10. Indemnification

You agree to indemnify, defend, and hold harmless Simply Automated and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend your access to our services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use our services immediately ceases
  • You remain liable for any outstanding payments
  • Provisions that should survive termination (such as confidentiality, indemnification, and limitations of liability) continue to apply

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Simply Automated operates, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation, if negotiation fails, before pursuing other remedies
